Perrimark Cultural Estate – Terms of Service

1. Introduction

Welcome to Perrimark Cultural Estate (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, digital platforms, guest pass and membership programs, virtual events, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree, you may not access or use the Services.

2. Overview of ServicesPerrimark Cultural Estate houses a collections of film, coffee, and art and other cultural collections created and owned by its founder. It provides access to these cultural assets to view and experience, content, and events on a free or paid basis including annual guest passes and membership.

The paid programming offers:

• Annual guest passes and memberships or single event or product offerings

• Virtual cultural events and experiences (e.g., tasting journeys, watch parties, discussions)

• Exclusive content and digital materials

• Partnership and co-production opportunities

Guest passes and membership tiers may include (subject to change):• Hacienda Brew Guest Pass: $395/ 1 year

• Estate Guest Pass: $1,200/ 1 year

• Producer Credits / Co-Production Tier: $10,000+/yearWe reserve the right to modify, add, or discontinue any free or paid option at our discretion.Perrimark Cultural Estate offers individual packages or other cultural Services (e.g., coffee tasting journeys), which may not require 1 year + access.

3. Eligibility

To use the Services, you must:

• Be at least 18 years old

• Provide accurate and complete registration information

• Have legal authority to enter into binding agreements

4. Memberships & Payments

4.1 BillingAll guest passes and memberships are billed in advance with the membership tiers (at $10,000 + ) charged on an annual basis unless otherwise stated

.All payments are processed through third-party payment processors, including Stripe.

4.2 Membership Auto-Renewal

Memberships at the $10,000 tier and up may automatically renew annually unless canceled before the renewal date. The guest passes do not renew after the 1 year time period concludes. The guest pass holder may purchase another guest pass manually.

4.3 Refund Policy

All payments are generally non-refundable unless otherwise required by law or explicitly stated in writing at the time of purchase.We do not guarantee refunds for unused time, dissatisfaction, or partial use of benefits.

4.4 Pricing

ChangesWe reserve the right to change pricing at any time.

For memberships and guest pass holders, changes will not affect an already-paid membership term but will apply upon renewal.

5. Virtual Events• Event schedules, formats, and access details are subject to change.

• We are not responsible for user technical issues, including internet connectivity or device compatibility, or payment system failures• Access to events may be limited based on payment tier (e.g., free, paid, membership tier)

6. Intellectual PropertyAll content provided through the Services, including videos, text, branding, recordings, and digital materials, is owned by or licensed to Perrimark Cultural Estate.You may not

:• Copy, reproduce, or redistribute content without permission

• Record or publicly share virtual events without written consent

• Use content for commercial purposes outside your consumer, guest pass, or membership rights

7. Conduct

You agree not to:

• Disrupt or interfere with Services or events

• Harass, abuse, or harm other guest pass holders, members, users of the platform, or staff

• Misuse content or access credentials

• Attempt unauthorized access to systems or accountsWe reserve the right to suspend or terminate accounts and cease services for violations

8. TerminationWe may suspend or terminate your access to the Services at any time if:

• You violate these Terms

• Payment fails or is reversed

• We believe your conduct harms the platform or community Upon termination, access to Services will cease immediately.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.”We make no guarantees regarding uninterrupted access, accuracy, or specific outcomes.10. Limitation of LiabilityTo the maximum extent permitted by law, Perrimark Cultural Estate shall not be liable for indirect, incidental, or consequential damages arising from your use of the Services.11. Governing LawThese Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.12. Changes to TermsWe may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
